Upsy Wave User Agreement and Privacy Policy

Before using the service, you should carefully read and abide by the User Agreement and Privacy Policy (hereinafter referred to as “this Agreement “).   1. Service rules

You are well aware that all rights related to Upsywave platform, including but not limited to ownership, intellectual property, etc., are owned by Upsywave. Users shall be subject to this Agreement and specific terms of service and operating rules relating to software and services.

II. Specification for account usage

2.1 You need to register an Upsywave account before using this service. Registering an Upsywave account is just by your email address .When the user registers the Upsywave account with the email address account, then you will be able to upload your content.

2.2 The ownership of the Upsywave account belongs to the Upsywave company. After the user has completed the registration procedure, he only obtains the right to use the Upsywave account, and the right to use the account belongs to the initial applicant only. The initial applicant may not grant, borrow, rent, transfer or sell Upsywave account or otherwise authorize the non-initial applicant to use Upsywave account.

2.3 It is the responsibility of the user to keep the information of the registered account and the password of the account properly, and the user is liable for the act under the registered account and password. The user agrees not to disclose account and password information to others under any circumstances.

(1) A natural person who has reached the age of 18 and has full capacity for civil rights and full capacity for civil conduct;

(2) A natural person under the age of 18 years with the written consent of his legal guardian;

(3) Companies, associations and other organizations established and legally present in accordance with local laws, regulations and/or regulations.

III. User information content specifications

You understand and agree that you shall not use the Upsywave account to produce, copy, publish, disseminate the following interference with Upsywave normal operation, as well as infringement of the legitimate rights and interests of other users or third parties, including but not limited to:

1. the publication, transmission, dissemination and storage of contents contrary to the prohibitions of national laws and regulations:

(1) Violating the fundamental principles established by the Constitution;

(7) Spreading obscenity, pornography, gambling, violence, terror or abetting a crime;

(8) Insulting or slandering others and infringing upon their lawful rights and interests;

(9) Incitement to illegal assembly, association, procession, demonstration and gathering of people to disrupt public order;

(10) Acting on behalf of illegal civil society organizations;

(11) Contains other contents prohibited by laws or administrative regulations.

2. To publish, transmit, disseminate and store contents that infringe upon the lawful rights of others, such as the right to reputation, the right to portrait, intellectual property, trade secrets, etc;

3. Involve the privacy, personal information or information of others;

4. Publishing, transmitting, disseminating harassment, advertising, over-marketing and spam messages or containing any sexual or sexual implication;

5. Other information that violates laws, regulations, policies and public order, good customs, social morality or interferes with Upsywave normal operation and infringes the legitimate rights and interests of other users or third parties.

IV. Treatment of non-compliance

4.1 The Upsywave shall have the right to delete and block the contents of this Agreement without notice if it finds or receives a report or complaint from another person that the user has violated the provisions of this Agreement, and shall, depending on the circumstances of the act, impose a penalty including, but not limited to, warning, restriction or prohibition of the use of part or all of the functions, the closure of the account until cancellation, and announce the result.

Articles (1) to (10) are independent of each other.

6.2 You understand and agree that we shall not be liable for any damages caused to you by:

(1) There may be significant violations or defaults in your specific transactions.

(2) Your actions in Upsywave are suspected of being illegal or immoral.

(3) Costs and losses arising from the purchase or acquisition of any data, information or transaction or substitution through Upsywave services.

(4) A transaction in which the user operates using third-party services;

(5) Any other loss not attributable to us in connection with the services provided by the Upsywave.

(6) Users use over-the-counter services, and the risks and consequences should be borne by you, the counter party to the transaction and the relevant smart contract issuer.

6.3 We shall not be liable for any service or delay caused by maintenance of information network equipment, failure of information network connection, failure of computers, communications or other systems, electrical failures, weather reasons, accidents, strikes, labour disputes, riots, intifada, riots, riots, lack of productivity or means of production, fire, floods, storms, explosions, wars, banking or other cooperative reasons, collapse of the digital asset market, government actions, orders of judicial or administrative organs, other acts or third party causes that are not within our control or beyond our control, and for your loss.

6.7 We do not waive any right to limit, waive or set off our liability for damages to the maximum extent of the application of the law not mentioned in this Agreement.

6.8 Upon your registration, you accept that any operation we perform in accordance with the rules set forth in this Agreement shall be at your risk.

6.9 In using this service, you should abide by the relevant local laws and regulations and respect local morals and customs. If your actions violate local laws and regulations or moral customs, you should be independently responsible for them.

6.10 If your country or territory prohibits or restricts all or part of the contents of this Agreement, you shall immediately cease using this Service.

VII. Use of wallets

7.1 You can initiate a payout only when you have reached your threshold, all you need do is to request for a payout in your account and Upsywave team will confirm your account before approving your payout

7.1 Complete authentication. When we reasonably believe that your account wallet behavior or transaction situation is abnormal, or that your identity information is doubtful, or that we believe that we should check your identity card or other necessary documents, Please actively cooperate with us to check your valid identity card or other necessary documents and complete the relevant authentication in time.

7.2 Notification. Upsywave will send you a notice by way of website announcement, email, sending short message, telephone, message center information, pop-up window prompt or client notification, such as notifying you of the progress of the transaction, or prompting you to do related operations, please pay attention to it in time.

7.10 Service costs and tax obligations:

(1) When you use a Upsywave over-the-counter transaction, Upsywave will deducted a charge of transfer fees whichever is the amount charged by the third party smart contract, and the Upsywave information prompt is for reference only;

(2) We do not charge you any form of service charge or handling fee for the time being, and we will agree otherwise or promulgate rules when some service charges are required in the future;

(3) You are responsible for all taxable expenses and other expenses incurred as a result of the transaction in Upsywave.

You can cancel a payment request anytime by simply sending another message stating your cancellation reasons

c. Fees

You agree to pay the prescribed fee of being eligible for payment and being a verified user of Upsywave, and Upsywave may update the service fee at any time at its sole discretion. Any renewal fee will apply to any sale or other transaction that occurs after the effective date of the renewal fee. You authorize Upsywave to deduct from your account any applicable fees you owe in accordance with these Terms of Use after being verifed..

IX. Scope of application

9.1 This Agreement applies to all our services. However, certain services have their specific privacy guidelines / statements that are more specific about how we handle your information in the service. If there is any inconsistency between this policy and the privacy guidelines / statements of a particular service, please refer to the specific privacy guidelines / statements.

X. Entry and change of the agreement

Upsywave will update this user agreement and privacy policy as needed to make it as up-to-date, accurate and clear as possible. Upsywave will notify you by prompting at a prominent location on the page before the change takes effect. If you continue to use the Upsywave service, you agree to accept the revised policy constraints.

XI. Law application and dispute settlement

11.1 You shall not violate the laws and regulations of the state and infringe upon the lawful rights and interests of others when using Upsywave services. XII. Other Provisions

12.1 The title of all the provisions of this Agreement is for ease of reading only and has no practical meaning in itself and can not be used as a basis for the interpretation of the meaning of this Agreement.

12.2 The provisions of this Agreement shall remain in force and shall be binding upon both parties for any reason whatsoever, whether partially void or unenforceable.
